(a) your use of the Site or Site Services;
(b) any breach of these Terms of Use and Sale by you; or
(c) any claim that materials you transmit through or in connection with the Site infringe or otherwise violate any third-party rights, including copyright, trademark, trade secret, or privacy rights, except to the extent that such claims arise from our own negligence or willful misconduct.

Governing Law and Severability

Transactions between you and United Services and Products Corporation, as well as any disputes related to your use of the Site or Site Services, shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Should any provision of these Terms of Use and Sale be deemed unlawful, void, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect. These Terms of Use and Sale, along with any applicable policies from our catalogs, invoices, or packing slips, constitute the complete and exclusive agreement between the parties regarding the use of the Site and Site Services, and can only be amended by a written agreement signed by both parties. Any conflicting terms from other documents, including purchase orders, will not apply unless executed by an authorized officer of United Services and Products Corporation.

Verification of Information by United Services and Products Corporation

In providing our services or acting as a payment collection agent on behalf of Sellers, United Services and Products Corporation (USandP) may facilitate payment processing, returns, refunds, and other customer service and transactional activities related to your purchases of products from Sellers. However, we do not control or guarantee the existence, quality, safety, suitability, or legality of the products listed on our platform, nor do we guarantee the truthfulness, accuracy, or legality of any information provided in the product listings by Sellers or other users.

Additionally, we are not responsible for the performance or conduct of Sellers or other users, including but not limited to a Seller’s ability to sell a product or fulfill a transaction. Except where explicitly stated otherwise, USandP does not endorse any Seller, store, product, or product listing.

We act solely as a payment collection agent for Sellers, accepting payments on their behalf. Upon receiving payment in the amount agreed between you and the Seller, your payment obligation for that specific amount is considered fulfilled. We are responsible for remitting the funds to the Seller as outlined in the Seller Services Agreement.

Before placing an order with a Seller, we strongly recommend thoroughly reviewing all product descriptions, restrictions, and any related information to ensure you are fully informed.

We routinely check prices against those found on USandP.com and other retailers. Some products may display a “Was Price,” determined using recent price history on our platform.

While we make every effort to ensure that the prices listed are accurate, USandP.com cannot confirm the price of an item until the order is placed. In the rare event that a product is mispriced, we will, at our discretion, either contact you for instructions before shipping or cancel the order and notify you of the cancellation.

Payments

Full payment is required prior to the delivery of goods unless otherwise agreed in writing. Customers are responsible for any applicable taxes and shipping costs. If we agree to allow payment after delivery, the amount must be paid within thirty (30) days. Past-due payments will accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

Returns Policy

Items purchased from USandP.com that are eligible for return or exchange may be returned by mail within 30 days of purchase. Please contact our Customer Care at (212) 307-4828 prior to returning items by mail. Our team will assist you to ensure that returns and refunds are processed promptly and accurately.

We understand that our customers are vital to our success. It is important for you to be aware of industry standards regarding the terms and conditions of your purchase. Please note that many technology products and solutions are subject to manufacturer-specific restrictions, which may differ from other types of products. Most of the products we sell are covered by a manufacturer warranty, which should be your first point of contact in case of any product issues. USandP.com does not accept returns or issue refunds for items that are specially ordered or customized. Damaged Shipments

If your shipment arrives damaged, refuse the package if you notice visible damage or tampering. If you accept the shipment, be sure to note the damage on the carrier’s delivery record. Retain the original packaging and contact us immediately to arrange an inspection and pickup. Any concealed damage must be reported within 7 days. Failure to report damage within this period will void your claim under our regular return policy, and manufacturer restrictions will apply.

Non-Defective Product Returns

Customers may return most non-defective items, subject to the manufacturer’s return policy, within 30 days for either credit or exchange. A 15% restocking fee applies to all such returns. Shipping, packaging, handling, and related charges are non-refundable.

How to Return Products

To return a product, please contact your account executive or our Customer Service Department
at (212) 307-4828 within 30 days of purchase to obtain a Return Authorization (RA) number. Returns will not be accepted without an RA number. Once issued, customers have 15 days to return the product.
The return shipping costs are the customer’s responsibility, and original shipping and handling fees are non-refundable.
